Founded in 1982, dual-listed on Nasdaq and the TASE since the 1990s, controlled by Formula Systems, and led for two decades by CEO Roni Al-Dor, Sapiens operated as one of the longest-tenured Israeli technology companies on US exchanges before going private.

The Founding and Formula Systems
Sapiens was founded in 1982 by Tsvi Misinai, Tuvi Orbach, and Shai Sole. The company initially operated across multiple software categories — including Y2K remediation and Euro-conversion work in the late 1990s, when annual revenues reached $91 million. In 2001, Dan Goldstein (then chairman of the Formula Group) assumed the chairmanship of Sapiens and the company pivoted to focus exclusively on insurance software.
Formula Systems (1985) Ltd. (Nasdaq: FORTY), the Or Yehuda-headquartered Israeli technology holding company founded by Dan and Gad Goldstein, controlled approximately 53% of Sapiens throughout its public life. Formula's portfolio also included Magic Software Enterprises and Matrix IT — making it the parent structure behind several of the longest-tenured Israeli enterprise-software positions on Nasdaq. Formula's ultimate parent is Asseco Poland S.A., one of Europe's largest IT companies.
Roni Al-Dor and the Insurance Focus
Roni Al-Dor joined Sapiens as president and CEO in November 2005 after nine years as president of TTI Telecom. Under Al-Dor's leadership over two decades, Sapiens transformed from a mid-sized Israeli software company into a global SaaS-based insurance platform provider serving more than 600 carriers. Revenue grew from under $100 million to approximately $549 million. The product suite expanded to cover property and casualty, life, pension and annuities, reinsurance, workers' compensation, and digital customer engagement.
The core product platform, Sapiens CoreSuite, is a configurable, end-to-end SaaS insurance administration system with multi-currency, multi-language support, embedded digital capabilities, advanced analytics, and open APIs. In February 2026, Celent awarded CoreSuite eight recognitions including Luminary and Technology Standout across North America, EMEA, and APAC.
The Advent Acquisition
On August 13, 2025, Sapiens announced a definitive agreement to be acquired by Advent International, a leading global private equity investor, for $43.50 per share in cash — an equity value of approximately $2.5 billion. Shareholders approved the transaction on November 19, 2025. The deal closed on December 17, 2025, following all necessary regulatory clearances. Sapiens common stock ceased trading and the company now operates privately under Advent ownership, with Formula retaining a minority stake.
Al-Dor stepped down as CEO and President effective December 31, 2025. In his final statement as a public-company CEO, he described the transaction as delivering "an excellent outcome for Sapiens' shareholders" and the partnership with Advent as enabling the company to "accelerate its innovation roadmap and expand its global reach."
Where Sapiens Sits in Israeli Enterprise Software
Sapiens belonged to a distinctive cohort: the long-tenured Israeli enterprise-software companies that predated the startup boom and operated publicly for decades. Within the Formula Systems portfolio alone, three Israeli enterprise-software companies held Nasdaq listings simultaneously — Sapiens, Magic Software, and Matrix IT. All three were founded in the 1980s. By early 2026, Sapiens had been taken private by Advent, Magic Software had been merged into Matrix, and the cohort that once represented a quiet, durable Israeli presence on Nasdaq had largely consolidated.
In the global insurance-software category, Sapiens competed with Guidewire Software (NYSE: GWRE), Duck Creek Technologies, Majesco, and EIS Group. Its differentiation was the breadth of coverage — P&C, life, pension, annuities, reinsurance, and workers' compensation on a single platform — and the 43-year institutional credibility that came from serving carriers across 30 countries.
