XTEND went public via an all-stock merger with JFB Construction Holdings on September 3, 2026. The combined company now trades on the NYSE as XTND.
Originally published April 2026. Updated September 2026 — the JFB Construction Holdings merger has now closed and XTND began trading on the NYSE.
XTEND, the Israeli-founded defense-tech operator building human-in-the-loop drone and robotics systems, went public not through a standalone Nasdaq IPO but through an all-stock business combination with JFB Construction Holdings (Nasdaq: JFB). The merger closed on September 3, 2026, and the combined company, renamed XTEND AI Robotics, Inc., began trading on the New York Stock Exchange under the ticker XTND on September 4, 2026, according to XTEND's own closing announcement. The deal was first announced February 17, 2026 at a reported $1.5 billion valuation, with XTEND's Delaware-incorporated structure aligning its corporate domicile with its growing American manufacturing footprint.
The company
XTEND was founded in Tel Aviv by Aviv Shapira and now operates with dual headquarters — engineering and origin in Tel Aviv, corporate and manufacturing headquarters in Tampa, Florida. The company's XOS software platform powers a family of human-guided and increasingly autonomous drone and robotics systems, including the Skylord line and the newer Seek & Strike multi-drone coordination capability. XTEND reports systems deployed across dozens of countries, with operational validation across multiple combat zones, and Seeking Alpha reported a $71 million contract backlog ahead of the merger's close.
The merger, not an IPO
The JFB combination — first announced in February 2026 and advanced through an S-4 registration statement the SEC declared effective on August 11, 2026, per XTEND's own disclosures — was the actual mechanism by which XTEND reached the public market. This distinguishes XTEND's path from Israeli defense-tech peers pursuing conventional IPOs: the JFB structure was a reverse-merger-style combination, and the resulting company is a U.S.-domiciled, NYSE-listed entity, not an Israeli entity cross-listing abroad. XTEND CEO Aviv Shapira signed the closing documents on September 3, 2026, DroneXL reported from an interview conducted the same day.
The 2026 commercial and policy tailwinds
Ahead of the merger's close, XTEND posted a run of contract and policy news that materially strengthened its position. The company was accepted into the U.S. Department of War's Drone Dominance Program (DDP) — a Pentagon initiative targeting procurement of more than 200,000 autonomous drones by 2027, per XTEND's announcement carried by Yahoo Finance — and secured a multi-year contract worth up to approximately $15 million with a European NATO member nation's defense ministry in August 2026. XTEND has also positioned itself as a supplier of NDAA-compliant, U.S.-manufactured drones as new tariffs reshape the market for imported systems, built through its Tampa-based manufacturing expansion.
The institutional architecture
XTEND continues to operate across multiple regulatory layers: Israel Ministry of Defense / SIBAT export licensing on the Israeli engineering side, U.S. export controls (ITAR and EAR), NDAA-compliance requirements for U.S. defense procurement, and now U.S. public-company disclosure obligations under the SEC as a NYSE-listed issuer.
What comes next
With the merger closed and XTND trading on the NYSE, XTEND AI Robotics' near-term milestones are execution ones: production capacity at its Tampa and Virginia facilities, DDP Phase II qualification outcomes, and its stated plan to use public-market capital to acquire complementary robotics technology — fixed-wing, maritime, and ground systems that plug into its XOS operating system, Shapira told The Drone Girl ahead of the listing.
