Hevra B.M. (Ltd.)

The standard Israeli limited-liability company structure under the Companies Law 1999 — the default incorporation for Israeli businesses, equivalent to the UK Ltd.

The Hevra Be'eravon Mugbal is the standard Israeli corporate vehicle — equivalent to the UK Ltd. or the US LLC in function, though structurally governed by the Companies Law 1999. Registration is handled by the Rasham HaChavarot (Registrar of Companies). Most Israeli startups incorporate domestically as a Hevra B.M. before layering a Delaware C-Corp parent for US venture financing. For Israeli-only operations — services, retail, construction, professional practices — the Hevra B.M. is the default and usually the terminal structure. Corporate tax on a Hevra B.M. is set by the ITA at 23% (2026), with reduced rates available under Preferred Technological Enterprise status.
